Turner Digital Basketball Services, Inc., NBA Media Ventures, LLC, NBA TV, LLC and NBA Properties, Inc. (collectively referred to as "NBA Digital") collaborate to make available certain device applications. As used in this document, "NBA Device Application" means any device application offered by or on behalf of the NBA Digital which includes a link or other mechanism that displays this document, including, without limitation, NBA Game Time. This document sets forth the terms and conditions (the "Terms and Conditions") for your use of any NBA Device Application. By using an NBA Device Application, you agree to be bound by these Terms and Conditions. If you cannot or do not agree to comply with these Terms and Conditions, then you may not use any NBA Device Application.

NBA.com; Other Documents

The NBA Device Application is offered by NBA Digital in connection with NBA Digital's operation of the www.nba.com website. As such, in addition to the terms of this document, you acknowledge and agree that your use of the NBA Device Application is also subject to: (a) the Terms of Use for the www.nba.com website, which are available at http://www.nba.com/news/termsofuse.html, and (b) the NBA.com Network Privacy Policy, which is available at http://www.nba.com/news/privacy_policy.html. To the extent that there is any inconsistency or conflict between the NBA.com Terms of Use and these Terms and Conditions, these Terms and Conditions shall control.

DATA COLLECTION & USAGE; PRIVACY POLICY

Without limiting the general nature of the other disclosures made in these Terms and Conditions, you understand that some areas of the NBA Device Application may access and receive information about you and your device and NBA Digital may utilize this information, as further described below .

The NBA Device Application may collect certain data from you and the device you use to access the NBA Device Application, including, but not limited to, a unique device identifier, associated IP address, version number of the NBA Device Application, and information about how and how often the NBA Device Application is being used (e.g., information about what content is viewed through the NBA Device Application), and certain areas within the NBA Device Application (e.g., log-in and/or registration pages) may ask you to submit personally identifying information (e.g., name, username, etc.).

The data and other information collected is maintained and used in accordance with the NBA.com Network Privacy Policy, which is available at http://www.nba.com/news/privacy_policy.html.

Charges

Any subscription or other fees charged by NBA Digital for use of the NBA Device Application or for any upgrades or subscription features offered in the NBA Device Application (e.g., NBA League Pass Broadband, etc.) are stated in the application or the order path for, as applicable, the application, upgrade or subscription feature. Please note that, in addition, depending on your Internet access provider, using or downloading the NBA Device Application or its upgrades or features may cause you to incur data or other charges from your provider.

Upgrades Such as Game Time Plus and League Pass Mobile

Within the NBA Device Application, you may be allowed to access certain upgrades which allow you to receive additional content or features via the NBA Device Application, such as those separate upgrades currently known as "League Pass Broadband". Each of these upgrades is referred to collectively in these Terms and Conditions as an "Upgrade", and they are collectively referred to as "Upgrades". The Upgrades may only be used and accessed from within the United States. Blackout restrictions may apply to Upgrades and the content available through them. For example, game content may be subject to blackout depending on the date of the applicable game, your location and local and national broadcast exclusivities. By way of example, from some locations in the United States, you may therefore be unable to view certain games via League Pass Broadband.

License; No Modifications

You may only use the NBA Device Application on a device that you own or control and such right to use the NBA Device Application shall be limited, non-exclusive, non-sublicenseable and non-transferable. Unless you obtain NBA Digital's prior written consent, you agree not to reproduce, distribute, publicly perform, publicly display, modify, adapt, translate, prepare derivative works from, decompile, reverse engineer or disassemble (or otherwise attempt to derive source code from) the NBA Device Application. In addition, you may only conduct personal, non-commercial use of the NBA Device Application in accordance with these Terms and Conditions, and you may not use the NBA Device Application in any manner that could damage, disable, overburden, or impair NBA Digital's systems (e.g., you may not use the NBA Device Application in an automated manner), nor may you use the NBA Device Application in any manner that could interfere with any other party's use or enjoyment of the NBA Device Application or of any other products or services offered by or on behalf of NBA Digital. You also agree not to use or access the NBA Device Application from outside of the United States of America.

Intellectual Property

The NBA Device Application is licensed to you, not sold. As between you and NBA Digital, you agree and acknowledge that NBA Digital owns all rights, title, and interest in and to the NBA Device Application, including, without limitation, the content made available therein and all Intellectual Property Rights associated with the foregoing. For the purposes of this document, "Intellectual Property Rights" means any and all rights existing from time to time under patent law, copyright law, trade secret law, trademark law, unfair competition law and related laws, as well as any other proprietary rights. You agree to not remove, obscure or alter NBA Digital's or any third party's copyright notice, patent notice, trademark notice, or other notices affixed to or contained within or accessed in connection with the NBA Device Application. NBA Digital hereby expressly reserves all rights in and to the NBA Device Application, the content made available therein and all related Intellectual Property Rights. Without limiting the generality of the foregoing, you acknowledge that NBA, NBA.COM, NBA LEAGUE PASS BROADBAND, and each of their associated logos are trademarks of NBA Media Ventures, LLC and/or its affiliates or licensors. All rights reserved. All other trademarks appearing on the NBA Device Application are the property of their respective owners.

Changes To and Discontinuance of Application

You agree that, to the maximum extent permitted by applicable law, NBA Digital may, at any time in its sole discretion, change, suspend or discontinue the NBA Device Application or any aspect thereof, including the availability of any feature or content, without liability on the part of NBA Digital and without prejudice to any legal or equitable remedies available to NBA Digital. In addition, NBA Digital reserves the right to make changes, modifications, amendments and updates to these Terms and Conditions from time to time and for any reason, by posting such changes in this document, which you can access at any time within the NBA Device Application. You acknowledge and agree that you shall be responsible for reviewing these Terms and Conditions from time to time for changes, and that changes to these Terms and Conditions shall be effective when posted. By continuing to use the NBA Device Application after NBA Digital has posted any such changes in these Terms and Conditions, you are agreeing to be bound by all of these Terms and Conditions, as amended.

DISCLAIMER AND LIMITATION OF LIABILITY

FOR THE PURPOSES HEREOF, THE PHRASE "NBA DIGITAL PARTIES" MEANS TURNER DIGITAL BASKETBALL SERVICES, INC., NBA MEDIA VENTURES, LLC, NBA TV, LLC AND NBA PROPERTIES, INC., and their respective present, former and future parents, ultimate parents, subsidiaries and related and affiliated entities, as well as the present, former and future agents, officers, directors, governors, employees, shareholders, partners, vendors, SUPPLIERS, COLLABORATING DISTRIBUTION PLATFORM OPERATORS, COLLABORATING DEVICE MANUFACTURERS, insurers, predecessors, successors, assigns and attorneys of the foregoing.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE NBA DIGITAL PARTIES PROVIDE THE NBA DEVICE APPLICATION AND UPGRADES "AS IS" AND WITHOUT ANY EXPRESS, IMPLIED OR OTHER WARRANTIES OR REPRESENTATIONS OF ANY KIND, INCLUDING, BUT NOT LIMITED TO, ANY WARRANTIES OF TITLE, MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE AND NON-INFRINGEMENT, ALL OF WHICH ARE HEREBY EXPRESSLY DISCLAIMED. FOR CLARITY, AND WITHOUT LIMITING THE GENERALITY OF THE FOREGOING, THE NBA DIGITAL PARTIES, TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, EXPRESSLY DISCLAIM ALL WARRANTIES REGARDING THE SECURITY, RELIABILITY, TIMELINESS, AND PERFORMANCE OF THE NBA DEVICE APPLICATION AND UPGRADES.

YOU ACKNOWLEDGE AND AGREE THAT, TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, YOUR USE OF THE NBA DEVICE APPLICATION AND UPGRADES IS AT YOUR OWN RISK AND YOU WILL BE SOLELY RESPONSIBLE FOR ALL DAMAGE AND HARM THAT RESULTS FROM OR IN CONNECTION WITH YOUR USE OF THE NBA DEVICE APPLICATION AND/OR UPGRADES, INCLUDING, WITHOUT LIMITATION, ANY DAMAGE TO YOUR DEVICE(S) AND ANY LOSS OF DATA. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE NBA DIGITAL PARTIES SHALL NOT BE RESPONSIBLE FOR, AND HEREBY EXPRESSLY DISCLAIM ANY RESPONSIBILITY FOR, ALL DAMAGES, HARM AND OTHER LOSSES ARISING OUT OF OR IN CONNECTION WITH THE NBA DEVICE APPLICATION, ANY UPGRADES OR THE USE THEREOF.

Indemnification

To the maximum extent permitted by applicable law, you agree to defend (at NBA Digital's election), indemnify and hold harmless each NBA Digital Party from and against all claims (including, but not limited to, claims for copyright infringement, defamation, invasion of privacy and infringement of rights of publicity, whether in tort, in contract or otherwise), damages and expenses (including, but not limited to, attorneys' fees, court costs, judgments and settlements costs) that the NBA Digital Party may incur or become subject to by reason of or arising out of the breach of this Agreement and/or your use of the NBA Device Application.



Notices Under These Terms and Conditions

Except as otherwise expressly provided herein, all notices required under these Terms and Conditions to NBA Digital shall be in writing and shall be transmitted by United States Postal Service ("USPS") or reputable express carrier to NBA Digital c/o Turner Digital Basketball Services, Inc., 1060 Techwood Drive, Atlanta, GA 30318, with a copy (which shall not constitute notice) to Legal Department for Turner Sports, 1050 Techwood Drive, Atlanta, GA 30318, ATTN - Senior Counsel for Turner Sports. Except as otherwise expressly provided herein, all notices required under these Terms and Conditions to you shall be in writing and shall be transmitted by USPS, reputable express carrier or email to any address which you have submitted to NBA Digital or to any address you submitted to the platform where you downloaded the NBA Device Application.

Injunctive Relief

You acknowledge and agree that any violation of these Terms and Conditions relating to the disclosure, use, copying, distribution, display or publishing of the information or content of the NBA Device Application or any Upgrades, or relating to the use of the NBA Device Application or any Upgrades, may result in irreparable injury and damage to NBA Digital that may not be adequately compensable in money damages, and for which NBA Digital will have no adequate remedy at law. You, therefore, consent and agree that NBA Digital may obtain injunctions, orders or other equitable relief as may be reasonably necessary to ensure compliance with these Terms and Conditions. You waive any requirement of the posting of a bond that may apply for issuance of any injunctions, orders or other equitable relief.

Assignment; Severability; Waiver

NBA Digital may freely assign either or both NBA Digital's rights or obligations (in whole or in part) under these Terms and Conditions without notice. These Terms and Conditions shall be binding on and inure to the benefit of the successors and permitted assigns of NBA Digital. You may not assign, transfer or delegate any of your rights or obligations under these Terms and Conditions, whether by operation of law or otherwise, and any such purported assignment, transfer or delegation shall be void ab initio. If any provision in these Terms and Conditions is invalid or unenforceable under applicable law, the remaining provisions will continue in full force and effect. NBA Digital's failure to exercise or enforce any right or provision of these Terms and Conditions shall not constitute a waiver of such right or provision. A waiver by NBA Digital of any right hereunder in any one instance shall not be deemed as a waiver of such right in any subsequent instance.

Third Party Devices and Services

The NBA Device Application may operate on or in connection with various devices, products and/or services provided by various third parties (e.g., gaming console and/or other devices, third party-provided Internet access services). Without limiting the generality of the foregoing disclaimers and limitations of liability, you acknowledge that NBA Digital does not control such third parties or their products or services and that NBA Digital shall not be responsible for such third parties or their products or services.

1. What determines a broadband blackout?

A broadband blackout is determined by the zip code location associated with your Internet Service Providers (ISP) account. Our system uses this information to confirm your location and to restrict access to regionally televised and national televised games.

For example: If a customer lives in California and purchased his subscription there; then traveled to Michigan, he would be blacked out in Michigan.

We do not support the use of VPN, internet accelerators, or proxies. VPNs, internet accelerators or proxies make users look like they are in a different location than they actually are. Note that the Google web accelerator is an example of a service which will result in incorrect blackouts.

You can verify your IP location by going to www.ip2location.com. Your location is listed in the middle of the page. If your internet service provider is using a proxy server, you could show up as being in another location, which would cause you to be blacked out.

2. What are blackouts?

Sports Blackouts for TV

Sports blackouts are a factor in every programming distribution service. Blackouts are determined primarily according to who has the rights to broadcast a given game in a given area, and are defined by the NBA. Blackouts take place when a game is televised locally in your area via a regional sports network or an over-the-air station. If a game is blacked out on NBA League Pass in your local area, you should tune to your local station to see the game. Games appearing on national television are not available on League Pass.

This applies to games being televised on ABC, ESPN, TNT, and NBA TV. You may view these games simply by switching to the designated channel.

Broadband Blackouts

Broadband blackouts use the same guidelines governing sports blackouts.for TV. Additionally, blackout games are determined by the zip code location of your Internet Service Provider (ISP)

3. Why do I receive a blackout when traveling?

If you are traveling and using a wireless broadband connection, you may experience blackouts that are different than the blackouts you experienced at home. Blackouts are determined by the zip code location of your Internet Service Provider, not the physical location of your computer.

Example: Your wireless broadband connection is physically located in Phoenix Arizona and shows a Zip Code location of New York City. All New York City regional games will be blacked out.
